1. Acceptance of Terms

Welcome to DBOps, a database operations management platform provided by VNS Software Services ("Company," "we," "our," or "us"). By accessing or using DBOps ("Service," "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

2. Description of Service

DBOps provides a comprehensive database operations platform that includes:

  • Database connection management
  • Schema snapshot and version control
  • Schema diff and comparison tools
  • Database migration management
  • CI/CD pipeline integration
  • Git repository integration
  • Audit logging and activity tracking
  • Team collaboration and project management

3. User Accounts

3.1 Account Registration

To use DBOps, you must:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Be at least 18 years old
  • Have the authority to enter into this agreement
  • Create only one account per person

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and security best practices

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion, with or without notice, for violations of these Terms or for any other reason.

4. Acceptable Use Policy

You agree NOT to use the Service to:

  • Violate any laws, regulations, or third-party rights
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use automated tools to access the Service without permission
  • Collect or harvest user data without consent
  • Impersonate any person or entity
  • Engage in fraudulent or deceptive practices
  • Use the Service for cryptocurrency mining
  • Reverse engineer or attempt to extract source code

5. Data and Security

5.1 Your Data

You retain all rights to your data. By using our Service, you grant us a limited license to:

  • Store and process your data to provide the Service
  • Create backups for disaster recovery
  • Analyze usage patterns to improve the Service

5.2 Database Credentials

Database connection credentials are encrypted and stored securely. We implement industry-standard security measures but cannot guarantee absolute security. You are responsible for ensuring your database security and access controls.

5.3 Data Backup

While we perform regular backups, you are responsible for maintaining your own backups of critical data. We are not liable for data loss.

6. Intellectual Property

6.1 Our Property

The Service, including its source code, design, functionality, and content, is owned by VNS Software Services and protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain ownership of any content, data, or materials you upload or create using the Service. You are responsible for ensuring you have the right to use and share such content.

7. Pricing and Payment

7.1 Subscription Plans

We offer various subscription plans with different features and pricing. Prices are subject to change with 30 days notice to existing customers.

7.2 Billing

By subscribing to a paid plan:

  • You authorize us to charge your payment method
  • Subscriptions auto-renew unless canceled
  • You are responsible for all applicable taxes
  • Failed payments may result in service suspension

7.3 Refunds

Refunds are handled on a case-by-case basis. Contact support@dbops.in for refund requests within 14 days of payment.

8. Service Availability and Support

8.1 Service Availability and Uptime

While we strive to provide reliable service availability, you acknowledge and agree that:

  • No Uptime Guarantee: We do not guarantee 100% uptime or uninterrupted access to the Service
  • Service Interruptions: The Service may be temporarily unavailable due to maintenance, updates, technical issues, server failures, network outages, or circumstances beyond our control
  • Scheduled Maintenance: We reserve the right to perform scheduled maintenance with or without prior notice, which may result in service downtime
  • Emergency Maintenance: Unscheduled maintenance may be performed at any time without notice to address critical issues, security vulnerabilities, or system failures
  • Third-Party Dependencies: Service availability may be affected by third-party services, cloud providers, hosting infrastructure, or internet connectivity issues
  • Best Effort Only: We will make commercially reasonable efforts to maintain service availability but make no warranties or guarantees regarding uptime percentages

8.2 System Updates and Deployments

You acknowledge and agree that:

  • We may deploy updates, patches, and new features at any time without prior notice
  • Updates may introduce temporary bugs, errors, or compatibility issues
  • We may rollback updates if issues are detected, which may cause service interruption
  • Database migrations and schema changes may be performed as needed and may cause brief outages
  • You are responsible for testing any critical workflows after system updates
  • We are not liable for any data loss, corruption, or business interruption caused by updates or deployments

8.3 Service Degradation and Performance

The Service may experience:

  • Slow response times during peak usage or high traffic periods
  • Performance degradation due to resource limitations
  • Temporary unavailability of certain features or functionality
  • Rate limiting or throttling to protect system resources
  • Reduced performance during database migrations or intensive operations

We are not liable for any losses, damages, or business impact resulting from service degradation or reduced performance.

8.4 Data Backups and Recovery

While we perform regular backups:

  • Backups are for disaster recovery purposes only and not guaranteed to be available on demand
  • We do not guarantee the completeness, accuracy, or timeliness of backups
  • Data recovery may not be possible in all circumstances
  • Recovery Time Objective (RTO) and Recovery Point Objective (RPO) are not guaranteed
  • You are solely responsible for maintaining independent backups of your critical data
  • We are not liable for any data loss, even if backups fail or are corrupted

8.5 Customer Support

Support is provided via email and our contact form:

  • Response times vary by subscription plan and are best-effort only
  • We do not guarantee same-day, next-day, or any specific response time
  • Support is provided during business hours (IST) unless otherwise stated
  • Complex issues may require extended resolution time
  • We reserve the right to close support tickets if we determine the issue is not service-related

8.6 Feature Changes and Discontinuation

We reserve the right to:

  • Modify, update, or remove features at any time without notice
  • Discontinue support for integrations, APIs, or third-party services
  • Change system requirements, supported databases, or compatibility
  • Deprecate or remove functionality that you rely upon
  • Alter the user interface, workflows, or user experience

We will make reasonable efforts to notify users of significant changes but are not obligated to do so. You acknowledge that feature changes may impact your workflows and you accept this risk.

8.7 Service Level Disclaimer

IMPORTANT: Unless you have a separate written Service Level Agreement (SLA) with VNS Software Services, no service level commitments, uptime guarantees, or availability guarantees apply. The Service is provided on an "as available" basis without any performance warranties.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of data
  • Warranties that defects or errors will be corrected
  • Warranties regarding uptime, availability, or performance
  • Any warranties arising from course of dealing, usage, or trade practice

9.2 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VNS SOFTWARE SERVICES, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • Service Outages: Any damages arising from service downtime, unavailability, or interruptions
  • Data Loss: Loss, corruption, or unauthorized access to your data, even if we were advised of the possibility
  • Business Impact: Lost profits, revenue, business opportunities, or goodwill
  • System Issues: Bugs, errors, defects, malfunctions, or system failures
  • Updates and Changes: Issues caused by updates, deployments, migrations, or feature changes
  • Performance Issues: Slow performance, timeouts, or degraded service quality
  • Security Breaches: Unauthorized access, data breaches, or security vulnerabilities
  • Integration Failures: Failures of third-party integrations, APIs, or connected services
  • Indirect Damages: Any indirect, incidental, special, consequential, or punitive damages
  • Reliance Damages: Damages from relying on the Service for critical business operations

9.3 Liability Cap

Our total aggregate liability to you for all claims arising from or relating to the Service shall not exceed:

  • For paid subscriptions: The total amount paid by you in the 12 months immediately preceding the claim
  • For free tier users: INR 1,000 (One Thousand Rupees) or USD $12, whichever is less

This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we were advised of the possibility of such damages.

9.4 No Liability for Downtime or Breakdowns

We shall not be liable for any losses, damages, or claims arising from:

  • Planned or unplanned maintenance windows
  • Server failures, crashes, or hardware breakdowns
  • Network outages or connectivity issues
  • Database failures, corruption, or migration issues
  • Deployment failures or rollback procedures
  • Load balancing issues or capacity limitations
  • DNS propagation delays or domain issues
  • SSL/TLS certificate renewals or expiration

9.5 Third-Party Dependencies

We are not liable for issues caused by third-party services, including but not limited to:

  • Cloud hosting providers (AWS, Azure, GCP, etc.)
  • Database providers and managed database services
  • CDN and edge network providers
  • OAuth providers and authentication services
  • Git repository hosting services (GitHub, GitLab, Bitbucket)
  • Email delivery services
  • Payment gateways and billing systems
  • Monitoring and analytics platforms

9.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or acts of God
  • War, terrorism, civil unrest, or government actions
  • Power outages, internet disruptions, or infrastructure failures
  • Cyberattacks, DDoS attacks, or security incidents
  • Labor disputes, strikes, or supplier failures
  • Regulatory changes or legal restrictions

9.7 User Responsibilities

You acknowledge that you are solely responsible for:

  • Maintaining independent backups of all critical data
  • Testing the Service for your specific use case before relying on it
  • Implementing disaster recovery and business continuity plans
  • Not using the Service for mission-critical or life-safety applications
  • Monitoring your own database operations and deployments
  • Validating schema changes before applying them to production

10. Indemnification

You agree to indemnify, defend, and hold harmless VNS Software Services, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms of Service
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights, including intellectual property, privacy, or data protection rights
  • Your content, data, or materials uploaded to or processed by the Service
  • Your database operations, migrations, or schema changes performed using the Service
  • Any data loss, corruption, or unauthorized access resulting from your use of the Service
  • Your failure to maintain adequate backups or disaster recovery procedures
  • Claims by your end users, customers, or third parties affected by your use of the Service
  • Any negligent or wrongful conduct by you or anyone using your account

This indemnification obligation will survive the termination of your account and these Terms.

11. Termination

11.1 By You

You may terminate your account at any time through your account settings or by contacting support.

11.2 By Us

We may terminate or suspend your account immediately for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended period of inactivity

11.3 Effect of Termination

Upon termination, your access to the Service will cease. We will retain your data for 30 days for recovery purposes, after which it may be permanently deleted.

12. Dispute Resolution

12.1 Informal Resolution

Before filing a legal claim, you agree to contact us at support@dbops.in to attempt informal resolution.

12.2 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law provisions.

12.3 Jurisdiction

Any disputes shall be resolved in the courts of India.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Continued use of the Service after changes constitutes acceptance of the new Terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms constitute the entire agreement between you and VNS Software Services regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
